Terms and service scope
Know the scope of your agreement.
The standard Emplinx contract framework: clear subscription scope, renewal protections, human authority and customer remedies.
Owner: Skylinx Global Solutions · legal@skylinxglobal.com
Customer commitments follow the accepted Order and incorporated agreements. This update does not retrospectively amend an existing contract.
1. Company, scope and accepted documents
Skylinx Global Solutions, an Indian partnership firm, owns and operates Emplinx. Customer service is governed by the accepted Order, applicable statement of work, incorporated master terms, Data Processing Addendum and service schedules, using their agreed order of priority.
These pages explain the standard framework. A visit, demonstration, enquiry receipt or calculator result does not execute an Order, authorise charges or establish that both parties accepted every contractual provision. A website update does not retrospectively amend an existing customer agreement.
An authorised business signatory accepts the customer commitment. An employee’s ordinary product login or policy acknowledgement does not authorise new employer fees, a separate data purpose or an undisclosed licence.
2. One platform with defined plan scope
Emplinx is one completed workforce, connected operations and operating-intelligence platform. Workforce, Operations and Operating Intelligence are subscription plans. Included functions, optional add-ons, customer entities, authorised users, sources and configuration follow the accepted Order.
Sample-data walkthroughs and product screen references illustrate workflows. They are not authoritative customer records, audited performance results or guaranteed savings. Separately contracted staffing, training, custom software or regulated services require their own scope and terms.
3. Fees, employee counts and billing
Published calculator figures are catalogue estimates before applicable taxes, optional usage and separately scoped work. The calculator covers 1–250 active employees, with a base for up to 50 and the published additional-employee rate. Larger teams require a scoped quote. An accepted fixed-band Order has one subscription price throughout its agreed band; catalogue illustrations do not override it.
The standard quarterly order is a genuine three-calendar-month commitment, paid in advance from accepted service-ready go-live. A 12-calendar-month annual renewal with 5% off subscription may be agreed after a successful first term, implementation acceptance, adoption and a value review; it is prospective and does not repeat delivered setup. Selected approved scopes may use a one-calendar-month term at a 15% premium. Discounts do not combine unless expressly stated in the signed quotation. The Order records exact dates, invoices and payment terms.
The Order defines licensed headcount, measurement dates, minimum commitments and adjustments. Candidates are not employee seats; historical former-employee records do not incur ordinary active-employee charges. An employee who is also a manager counts once. Contractors count when they actively use the licensed workforce functions.
Under the standard catalogue, added licences are charged from the agreed effective date. Proration uses the additional monthly rate, selected payment factor and licensed calendar days in each affected month; the invoice shows the dated change. Reductions apply at the next term start, subject to the 50-seat minimum. Annual prepaid seats remain committed for that annual term. Existing accepted Orders retain their agreed capacity, price and change rules. A pause in use does not by itself reduce the commitment. Good-faith disputes do not excuse undisputed charges or remove mandatory remedies.
4. Manual renewal and price protection
Renewal is manual through a newly accepted renewal Order; no automatic renewal or debit is inferred. Any expressly elected business auto-renewal must state its period and accessible nonrenewal route.
The standard framework provides at least 30 calendar days’ renewal notice and at least 60 calendar days’ notice of a proposed fee change. For an expressly elected auto-renewal, nonrenewal is accepted until 15 calendar days before the current term ends; a late fee notice cannot impose that increase for the next renewal.
Agreed unit prices are protected for the initial 12 months, including shorter successive terms. Thereafter, for materially the same scope, ordinary base subscription fees may rise by no more than 10% in any 12-month period. A higher increase requires a new express agreement; silence is insufficient. There is no base-fee increase during a committed term. Accepted scope, workforce or usage changes, lawful taxes and disclosed time-limited discount expiry are addressed separately.
5. Implementation and paid usage
The accepted implementation scope identifies customer inputs, owners, configuration, migration, deliverables and acceptance checks. Paid setup is 50% at kickoff and 50% at acceptance; included setup has no mobilisation fee. Subscription starts only at accepted service-ready go-live. Allow five business days to review submitted evidence; silence does not certify payroll correctness. Material failures receive cure and retest. If core acceptance cannot be met after the agreed cure, the failed scope may be terminated with its setup fees and unused subscription refunded and an export provided, subject to the agreement. New requirements need an accepted change order; defects and contracted functionality are not new paid scope.
No plan implies unlimited custom development or third-party consumption. A paid usage meter requires accepted units, rates, included allowances, rounding, billing periods, retry treatment and a spend ceiling before charging. Internal health checks, failed supplier executions and duplicate supplier retries are not billable units.
Accepted metered usage provides alerts at 80% and 100% of the allowance. Consumption beyond the authorised ceiling needs approval. A scoped pause of an optional metered feature must preserve independent core services and lawful export; a failed alert does not authorise an unapproved overage.
6. Workforce, finance and AI responsibilities
The customer owns lawful employment decisions, worker classification, salary instructions, statutory applicability, filing and remittance. Emplinx supports configured workflows within its contracted scope. Payroll Safety reviews a draft; it does not independently change salaries or become payment authority.
Accounting retains statutory invoices, ledger entries, tax treatment and revenue recognition. Authorised finance or payment sources confirm receipts. Completion, an invoice-ready package or a promise to pay is not cash received. ProfitGraph, scenarios and ROI analysis retain their assumptions and evidence limits.
AI assistance can be incomplete or inaccurate and requires meaningful review. Solely automated consequential adverse decisions and undisclosed workforce profiling are prohibited uses. General acceptance does not authorise independent model training, new recipients or expanded processing purposes.
7. Customer data, intellectual property and confidentiality
The customer retains its rights in Customer Content. Skylinx receives only the processing and use rights needed for the instructed service and separately defined lawful obligations. Customer data is not a general-purpose training asset.
Skylinx and its licensors retain rights in Emplinx, reusable components, standard templates and pre-existing materials. Hosted access does not transfer source code or ownership. Bespoke deliverables require an express IP schedule specifying the rights, territory, duration, payment event and any surviving licence. Third-party and open-source conditions remain applicable.
Each party protects the other’s confidential information and uses it only for the engagement. The standard confidentiality period is five years after termination; trade secrets remain protected while secret, and personal-data duties continue for their applicable period. Required lawful disclosure is limited to its proper scope.
8. Service levels, support and security
The standard SaaS Service Levels and Support schedule provides a 99.9% monthly availability commitment for the defined Covered Service when incorporated into the accepted Order. Ordinary support operates Monday–Friday, 09:30–18:30 IST, excluding Telangana public holidays.
Standard recovery objectives are a 24-hour recovery-point objective and a 24-hour recovery-time objective for covered components and events. These are scoped objectives, not historical performance, zero-loss guarantees or general round-the-clock technical support. Enhanced recovery and out-of-hours technical support require a separately agreed schedule.
The service-level page explains measurement, permitted exclusions, credit bands, support acknowledgement targets and persistent-failure remedies. The DPA and security schedule define processing and incident responsibilities. Infrastructure certifications do not automatically certify Emplinx.
9. Correction, refunds and cancellation
For an ordinary material failure to conform to the agreed service description, the standard terms provide investigation and correction, reperformance or a reasonable workaround within 30 calendar days, unless another reasonable period is expressly agreed. If the material failure remains unresolved, the customer may terminate the affected service and receive its unused prepaid fees within 30 calendar days, subject to a shorter applicable period.
Persistent availability failure has its own affected-service termination and refund route under the incorporated SLA. Separate privacy, security, confidentiality, fraud, IP and mandatory remedies remain intact. Convenience cancellation and refunds apply only where the Order or mandatory law provides them.
Failed bespoke milestones follow their accepted project remedy, including any identified independently usable delivered value and lawful authorised noncancelable costs. There is no unpriced retrospective deduction or duplicate deduction. Earned fees and accepted usable milestones remain payable.
10. Liability allocation and preserved rights
The selected standard commercial model uses one lifetime shared liability pool for each accepted Order and its associated statements of work, unless a genuinely separate priced scope expressly has its own pool. A renewal, amendment or renamed renewal document does not automatically replenish that pool.
For subscription Orders, the fee base is the 12 months before the earliest claim event; in the first year it is the committed first-year fees, including the agreed minimum, and after termination it is the final 12 months. The base is fixed at that first event. Ordinary claims collectively use at most one base; ordinary and elevated confidentiality, data-protection or security claims together use at most twice the base. Defence and indemnity costs consume the applicable capacity without duplicate recovery.
Properly owed fees, agreed refunds and service credits are payment or performance obligations outside that damages pool. Fraud, wilful misconduct, legally unlimitable liability, protected statutory rights and binding transfer protections are not excluded. The accepted documents govern the detailed allocation; merely displaying a cap does not establish enforceable acceptance.
Default contracted use and IP defence cover India and the agreed copyright or trade-secret scope. Additional territories or rights require express agreement. Global branding does not imply worldwide patent defence, a corporate limited-liability shield or verified cyber-insurance cover.
11. Proportionate suspension and termination
Suspension must have a lawful, proportionate basis and be limited to the justified service, access or duration, with notice and a correction route where practicable. An optional usage limit does not create an undisclosed fee or justify shutting down unrelated core services.
The standard material-breach route provides written notice and a 30-day cure period where appropriate; urgent, unlawful, incurable or repeated serious abuse may require earlier action subject to law. An established SLA persistent-failure election has no second cure period.
Termination ends affected operational access subject to secure exit handling. It does not remove accrued payments, an expressly surviving lawful output or project licence, confidentiality, mandatory rights or applicable data duties.
12. Included export, deletion and exit
The standard accepted DPA runs all ordinary exit deadlines from the effective end of the affected processing service: return or export by day 30, active-content deletion by day 90 and scheduled backup expiry by day 180. Ordinary processing stops at the effective end; residual exit handling is restricted.
Included ordinary export covers agreed module records in CSV or JSON, original attachments, necessary identifiers, relationships, timestamps, relevant configuration and audit records, and a schema or data dictionary. It must be authorised, complete and usable for the agreed scope. It does not grant another tenant’s data, source code, general model weights or restricted third-party material.
Basic export and deletion assistance are included. Optional bespoke transformation or migration needs a reasonable accepted quote and cannot obstruct statutory rights or required switching. Qualified active-deletion and final backup confirmations are provided within ten business days of the corresponding completion and identify any precise lawful exceptions.
Earlier lawful instructions, mandatory retention and applicable regional switching protections take priority. Covered EU Data Act switching follows its own transition, post-transition retrieval, erasure and charge rules; the ordinary exit dates do not override it.
13. Notices, disputes and changes
Send legal and contract questions to legal@skylinxglobal.com, privacy requests to privacy@skylinxglobal.com and security concerns to security@skylinxglobal.com. Customer notices use the contacts recorded in the Order. A bounced email is not proof of delivery.
Indian law governs the standard business agreement, subject to independently applicable mandatory law. Business arbitration requires express acceptance and authorised signatories. Its standard framework uses a sole independent jointly appointed arbitrator, a Hyderabad seat and English proceedings; visitors do not agree to arbitrate merely by browsing.
Mandatory statutory, regulatory, consumer and individual privacy or employment routes are preserved. A website policy update does not silently insert new fees, reduce paid scope, rewrite a cap or impose arbitration on an existing contract.
